Set up an SCI

The SCI

real estate company can be formed to carry out an activity or manage real estate assets.

The members of the SCI must be at least two. To constitute the share capital of the SCI, everyone must make a contribution to the SCI :
• In cash: contribution of a sum of money,
• In kind: contribution of a property,
• In industry: contribution of its activity or know-how. The contribution to industry does not enter into the share capital.

Duties and taxes may be payable on contributions.
Note : If a partner brings a property, or a lease with a duration of more than 12 years, a notary must necessarily intervene to carry out the formalities of land registration.

To set up the SCI, the founding partners carry out various formalities. First of all, it is necessary to draft and sign the articles of association of the SCI that constitute the partnership contract. It is possible to call on a professional (notary, lawyer ...) for the establishment of the statutes. These may be supplemented by rules of procedure.

Note : if acts are performed in the name and on behalf of the SCI before it is registered with the RCS, they can be taken over by the SCI when signing the articles of association. A statement of these acts is then drawn up and annexed to the statutes.

Then, the legal formalities are completed:
• Insertion in a newspaper of legal announcements,
• Registration of the company in the RCS (Trade and Companies Register): the application is filed with the CFE (Centre de Formalités des Entreprises), it contains various documents,
• Publication in BODACC, at the initiative of the clerk who carries out the registration of the company.

The registered SCI is assigned an identification number: the Siren number, composed of 9 digits. This number, accompanied by the mention "RCS" and the city of registration is indicated on the invoices, orders, tariffs, advertising documents, correspondence and receipts drawn up by the SCI.

Good to know

A cohabiting couple is subject to the regime of indivision in the event of the acquisition of property. It is in their interest to create a couple SCI for several reasons : the acquisition and management of a common property, but also the transmission of the property in the event of the death of one of them. The creation of a couple SCI follows the same rules as that of the SCI, the couple being mentioned as partners of the SCI.
